Terms of Service

These Global Terms of Service ("Terms") form a binding agreement between you and Prowasl LLC ("Prowasl," "we," "us," or "our"). These Terms govern your access to and use of Prowasl's websites, mobile applications, and related services (the "Platform").
By accessing or using the Platform, creating an account, or clicking "I agree," you acknowledge that you have read, understood, and agree to be bound by these Terms.
1. Key Definitions
- "Client" means a User who requests, books, or receives Services from a Wasler via the Platform.
- "Wasler" means a User who offers, performs, or is booked to perform Services via the Platform. The name comes from the Arabic word "wasl" (وصل), meaning "connection"—Waslers are the individuals who connect community members with the services they need.
- "Services" or "Tasks" means the services a Wasler agrees to perform for a Client through the Platform (for example, cleaning, furniture assembly, yard work, tutoring, etc.).
- "User" or "you" means any individual or entity that accesses, uses, or registers for the Platform, including both Clients and Waslers.
- "Service Agreement" means a direct agreement between a Client and a Wasler for the performance of Services.
- "Muslim-Owned Badge" means an informational badge displayed on a business or Wasler profile indicating that the owner has self-identified as Muslim-owned or Palestinian-owned.
- "Waqf Fund" means the charitable fund connected to Prowasl that receives a portion of Prowasl's net surplus to support eligible mosques or community projects.
2. Eligibility & Account Registration
2.1 Age and Capacity
You must be at least 18 years old and capable of entering into a legally binding contract to use the Platform. By using the Platform, you represent and warrant that you meet these requirements.
2.2 Territorial Scope
Prowasl primarily operates in selected locations within the State of Colorado (including Denver, Aurora, and Fort Collins). We may expand or limit territories at any time.
2.3 Account Creation
To access certain features, you must create an account and provide accurate, current, and complete information. You agree to keep your account information up to date and maintain the confidentiality of your login credentials.
2.4 Account Responsibility
You are solely responsible for all activities that occur under your account. Notify Prowasl immediately of any unauthorized use or security breach.
2A. Service Models and Platform Role
2A.1 Two Service Models
Prowasl offers two distinct models for connecting Clients with Waslers:
(a) Task-Based Services:
- Clients book Waslers at an hourly rate displayed on the Platform;
- Prowasl processes payment from the Client, including the Task Price and any applicable platform fees;
- Prowasl disburses the Net Wasler Payout to the Wasler after Task completion;
- Prowasl provides limited dispute resolution assistance;
- Platform fees (typically 10% of the Task Price) support Platform operations and the community waqf fund.
(b) Lead-Based Services:
- Clients submit project requests describing their needs and estimated budget;
- Waslers pay a Lead Fee (based on project budget tier) to unlock Client contact information;
- All subsequent interactions—including quoting, contracting, scheduling, and payment—occur directly between the Wasler and Client, outside the Platform;
- Prowasl does not process payment for the underlying services and has no visibility into or control over the final transaction;
- 20% of the Lead Fee supports the community waqf fund.
2A.2 Platform Liability Differs by Service Model
Prowasl's role and liability differs significantly between these models:
(a) Task-Based Services: Because Prowasl processes payment and has visibility into the transaction, Prowasl may assist with disputes, issue refunds in appropriate circumstances, and enforce Platform policies regarding Task completion and quality.
(b) Lead-Based Services: Because all contracting and payment occurs directly between the Wasler and Client outside the Platform, Prowasl has no liability for and cannot assist with:
- The quality, timeliness, or completion of services;
- Disputes over pricing, scope changes, or payment;
- Property damage, personal injury, or other claims arising from the services;
- The Wasler's licensing, insurance, or legal compliance;
- Refunds or chargebacks related to services (the Lead Fee itself is non-refundable except as described below).
2A.3 Lead Fee Refund Policy
Lead Fees are generally non-refundable because they compensate Prowasl for providing verified Client contact information. However, Prowasl may, in its sole discretion, offer a partial or full refund of a Lead Fee if:
- The Client contact information provided was materially inaccurate or invalid;
- The Client explicitly confirms they did not submit the request or have already completed the project;
- Technical errors prevented the Wasler from accessing the lead information.
Refund requests must be submitted within 7 days of unlocking the lead.
2A.4 Wasler Acknowledgment for Lead-Based Services
By participating in Lead-Based Services, Waslers acknowledge and agree that:
- They are solely responsible for verifying Client requirements, providing accurate quotes, and negotiating terms;
- They must maintain appropriate business licenses, insurance, and legal compliance for their jurisdiction;
- They will handle all payment collection, disputes, and customer service directly with the Client;
- Prowasl is not a party to any agreement between the Wasler and Client for Lead-Based Services;
- They will not misrepresent Prowasl's involvement or use the Platform's branding when contracting with Clients.
3. Nature of the Prowasl Platform
3.1 Marketplace Only; No Employment Relationship
Prowasl provides an online marketplace that enables Clients to connect with independent Waslers. Prowasl itself does not perform Services and does not employ individuals to perform Services.
You acknowledge and agree that:
- Waslers are independent contractors who operate as separate businesses;
- Prowasl does not supervise, direct, control, or monitor Waslers in the performance of Services;
- Prowasl does not and cannot guarantee the quality, timing, legality, completion, or any other aspect of Services or Waslers.
3.2 No Responsibility for Services
Prowasl is not a party to any Service Agreement between Clients and Waslers, and is not responsible for property damage, personal injury, timing or quality of work, or compliance with applicable laws.
3.3 No Guarantee of Users
Prowasl does not guarantee the identity, background, skills, licenses, insurance, or suitability of any User. Any "verified," "licensed," or "Muslim-owned" badges indicate only that certain processes or self-identifications have been made and do not constitute Prowasl's endorsement.
4. Relationship Between Clients and Waslers
4.1 Service Agreements
When a Client books a Wasler through the Platform, a Service Agreement is formed directly between the Client and the Wasler, and not with Prowasl.
4.2 Independent Contractor Status
Each Wasler is an independent contractor of the Client. The Wasler is solely responsible for determining how to perform the Services, providing tools and equipment, and complying with all applicable laws.
4.3 No Authority to Bind Prowasl
Users are not authorized to represent that they are employees, agents, or legal representatives of Prowasl.
5. Wasler Representations and Obligations
By registering as a Wasler, you represent, warrant, and agree:
5.1 Legal Compliance and Licenses
- You will comply with all applicable laws, regulations, codes, and industry standards;
- You have all required licenses, registrations, certifications, permits, and approvals;
- You will not accept Services for which you are not legally permitted or qualified.
5.2 Insurance
You are solely responsible for obtaining and maintaining any required insurance (general liability, worker's compensation, etc.). Prowasl does not provide insurance coverage for Waslers or Clients.
5.3 Taxes
You are responsible for all taxes, including income, self-employment, and sales taxes arising from payments received through the Platform.
5.4 Skills and Scope
You will only accept Services where you have the necessary skills, tools, and experience to perform safely and competently, as explained in the Prowasl Skills, Tools & Scope Policy.
6. Client Representations and Obligations
6.1 Lawful Use
You will request and use Services only for lawful purposes and in compliance with all applicable laws and Prowasl policies.
6.2 Verification of Waslers
For tasks requiring a licensed professional (electrical, plumbing, structural work), you are responsible to confirm that a Wasler holds required credentials before work begins.
6.3 Safe Premises
You will provide a safe environment for Waslers and disclose any known hazards at the work location.
6.4 Platform Payments
You will make all payments through the Platform and will not solicit or encourage Waslers to accept payment outside the Platform.
7. Booking, Service Agreements, and Changes
7.1 Booking Process
Clients may browse Wasler profiles, request estimates, and book Services through the Platform. A booking is created when a Wasler accepts a service request.
7.2 Changes and Rescheduling
Changes or rescheduling may be requested through the Platform and may affect pricing or fees according to the Fees, Payments & Cancellation Terms.
7.3 Cancellations
Cancellations are governed by the applicable cancellation rules. Prowasl may assist in resolving disputes arising from cancellations.
8. Fees, Payments, and Taxes
8.1 Platform Fees
Prowasl charges a 7.5% service fee to Clients and a 15% commission from Waslers. Waslers keep 85% of their quoted rate.
8.2 Payment Processing
Payments are processed by third-party payment service providers. By using the Platform, you agree to comply with their terms.
8.3 No Off-Platform Payments
Users must not circumvent the Platform by arranging or accepting payment outside of the Platform. Doing so may result in account termination.
8.4 Off-Session Payment Authorization
When you book a task on Prowasl, you authorize Prowasl to charge your saved payment method at task completion for any actual hours worked beyond the original estimate, at the same hourly rate plus the applicable 7.5% trust fee. This authorization is bounded by the duration of the booked task and applies only to that specific task.
If your card is declined or requires additional authentication at completion time, you will receive an email with instructions to update your payment method or complete the authentication. Your wasler's earnings will not be released until payment is confirmed.
You may revoke off-session authorization at any time by removing your saved payment method in your account settings. Revocation does not affect tasks already booked.
9. Muslim-Owned Badges and Value-Based Features
9.1 Self-Identification
Waslers and business Users may self-identify as "Muslim-owned," "Palestinian-owned," or similar descriptors. Prowasl may display badges based on this self-identification.
9.2 No Guarantee
Prowasl does not independently verify religious identity or ownership status. Badges are informational only.
9.3 Open Access
The Platform is open to Users of all backgrounds. Prowasl does not deny access based on religion, race, national origin, or other protected characteristics. Users may choose to support values-aligned businesses but may not harass or discriminate against others.
10. Waqf Fund and Impact
10.1 Mission Alignment
Prowasl directs a portion of its net surplus to a Waqf Fund that supports eligible mosques or community projects.
10.2 No Rights Created
Nothing in these Terms grants any User a right or entitlement to any distribution from the Waqf Fund.
10.3 Transparency
Prowasl provides transparent reporting about contributions to and distributions from the Waqf Fund on our Transparency page.
11. Acceptable Use; Community Standards
11.1 Prohibited Activities
Users must not engage in:
- Illegal activities, including tasks involving drugs, stolen goods, or contraband;
- Tasks involving adult content, sexual services, or gambling;
- Harassment, hate speech, or abusive behavior;
- Off-Platform payment arrangements to evade fees.
11.2 Anti-Discrimination
Users must maintain professional, respectful behavior and not discriminate based on race, religion, sex, gender identity, sexual orientation, disability, or other protected characteristics.
11.3 Safety
Users must not request or perform Services that are inherently dangerous, require equipment the Wasler doesn't have, or would create imminent harm to people or property.
12. Intellectual Property
12.1 Prowasl IP
The Platform and all content, trademarks, logos, and intellectual property are owned by Prowasl or its licensors.
12.2 License to Use
Subject to compliance with these Terms, Prowasl grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Platform.
12.3 User Content
You retain ownership of content you submit. You grant Prowasl a worldwide, royalty-free license to use, copy, modify, display, and distribute your content as necessary to operate the Platform.
13. Disclaimers
13.1 Platform Provided "As Is"
To the maximum extent permitted by law, the Platform is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory.
13.2 No Warranty
Prowasl does not warrant:
- The quality, safety, legality, or suitability of any Services;
- The qualifications, identity, or background of any User;
- That the Platform will be uninterrupted or error-free.
14. Limitation of Liability
14.1 Exclusion of Damages
Prowasl shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, loss of data, or business interruption.
14.2 Liability Cap
Prowasl's total aggregate liability shall not exceed the greater of: (a) total fees paid or earned during the six months preceding the claim, or (b) one hundred U.S. dollars ($100).
15. Indemnification
You agree to indemnify, defend, and hold harmless Prowasl and its officers, directors, employees, and affiliates from any claims, losses, damages, liabilities, and expenses arising from:
- Your use of the Platform;
- Your performance or receipt of Services;
- Your breach of these Terms or applicable law;
- Your infringement of third-party rights.
16. Term, Termination, and Suspension
16.1 Termination by You
You may stop using the Platform and close your account at any time. Termination does not relieve you of obligations incurred before termination.
16.2 Termination by Prowasl
Prowasl may suspend or terminate your access at any time for violation of these Terms, suspected fraud or abuse, or non-payment of fees.
16.3 Effect of Termination
Upon termination, your right to access the Platform ceases. Sections that by their nature should survive will continue in effect.
17. Dispute Resolution and Governing Law
17.1 Governing Law
These Terms shall be governed by the laws of the State of Colorado, without regard to its conflict of law rules.
17.2 Informal Resolution
Before initiating any formal dispute resolution, you agree to contact Prowasl at [email protected] and attempt to resolve the dispute informally.
17.3 Venue
Any disputes shall be brought exclusively in the state or federal courts located in Colorado, and you consent to the personal jurisdiction of such courts.
18. Changes to the Agreement
18.1 Changes to the Platform
Prowasl may modify, suspend, or discontinue any aspect of the Platform at any time.
18.2 Changes to Terms
Prowasl may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and may send you notice. Continued use of the Platform after changes constitutes acceptance.
